Terms of Use

Last updated: October 30, 2026

These Terms of Use govern your use of the CertiVere website (the "Site"), operated by CertiVere LLC ("CertiVere," "we," "us" or "our"). By using the Site, you agree to these terms. If you do not agree, do not use the Site.

These terms cover the Site only. Use of the CertiVere platform is governed by a separate written agreement, and that agreement controls if it conflicts with these terms.

Information only, not an offer or advice

The Site describes CertiVere and its services for general information. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or other financial product. CertiVere is a technology platform. It is not a broker-dealer, funding portal, investment adviser or registered transfer agent, and nothing on the Site is investment, tax, legal or accounting advice. Consult your own advisers before making financial decisions.

Any transfer agent, brokerage or trading services are provided only by appropriately registered third parties, under their own terms. Examples, figures and product images on the Site, including sample cap tables and activity logs, are illustrative only.

Using the Site

You may use the Site for lawful purposes. You agree not to:

  • use the Site in a way that violates any law or regulation;
  • try to gain unauthorized access to the Site, its servers or any connected system;
  • interfere with the Site's operation, including by introducing malicious code or overloading it;
  • copy or collect content or data from the Site by automated means, except as search engines do to index it;
  • submit false information or impersonate anyone through our contact form; or
  • use the Site to send spam or unsolicited marketing.

Intellectual property

The Site and its content, including text, graphics, logos and software, are owned by CertiVere or its licensors and are protected by intellectual property laws. CertiVere and the CertiVere logo are trademarks of CertiVere. Liquid Mercury, Recurved and other names and logos on the Site belong to their respective owners. You may view and print pages for your own non-commercial use. Any other use requires our written permission.

What you send us

If you send us questions, comments or ideas, you agree that we may use them without any obligation to you. Please do not send confidential information through the Site. Submitting our contact form does not create a client, advisory or confidential relationship.

Links to third-party websites are provided for convenience. We do not control those sites and are not responsible for their content, policies or practices.

Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, CERTIVERE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

We do not promise that the Site will be accurate, complete, current, uninterrupted or free of errors or harmful components.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CERTIVERE AND ITS AFFILIATES, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow these limits, so they may not apply to you.

Indemnity

You agree to indemnify and hold harmless CertiVere and its affiliates from any claims, losses and expenses, including reasonable attorneys' fees, arising from your misuse of the Site or your breach of these terms.

Governing law

These terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. Any dispute relating to the Site will be brought only in the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction.

Changes and general terms

We may change these terms or the Site at any time. Changes take effect when posted, and your continued use of the Site means you accept them. If any part of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These terms and our Privacy Policy are the entire agreement between you and us about the Site.
